(Nasdaq: RBBN), a global provider of real time communications software and IP optical transport solutions to service providers, enterprises, and critical infrastructure sectors, is looking for a talented, detail-oriented, paralegal to join our in-house legal team.  In this role, based at our corporate headquarters in Plano, Texas, you will have the opportunity to interact with a broad cross section of the company, including sales, product, HR, and finance teams as well as executives within the organization. Position Title: Paralegal

Location: Plano, TX

Position Summary:


• Working directly with attorneys and paralegals to provide support and assist with a variety of corporate matters.
• Receiving and processing delegated, assigned internal legal requests and assisting in reviewing, revising, and coordinating with internal stakeholders to complete requests.
• Coordinating global subsidiary compliance.
• Assisting in drafting and editing corporate governance documents such as internal policies, company agreements, shareholder resolutions, meeting minutes, and annual reports.
• Assisting in drafting, negotiation, checklist management, and execution of complex multi-document transactions such as mergers, acquisitions, financing transactions, real estate etc.
• Coordinating and assisting in responding to inquiries from government agencies and other parties.
• Performing research on statutes, case law, authoritative guidance, and other legal resources to assist in the in-house legal team in all aspects of the company’s business.
• Maintaining claims and litigation files and coordinating discovery and subpoena responses.
• Maintaining tracking/logs for internal legal requests, indemnification claims, litigation, subpoenas and other miscellaneous matters.
• Providing support related to the maintenance and management of the company’s intellectual property.
• Performing all other duties as assigned.

Experience and Skills:

• Minimum five to six (5-6) years of paralegal experience in a corporate environment.
• Some college courses in business, management, pre-law or related fields or experience.
• Related experience in a global operation preferred.
• Must have and maintain an ABA-approved Paralegal Certification.
• Technically proficient in SharePoint, Microsoft Word, Excel, Access and Power Point, and Westlaw/Lexis research.
• Strong ability to focus on details, demonstrate accuracy, and maintain a high level of confidentiality.
• Excellent communication, organization, and interpersonal skills.
